Systems Reliability

ACCF aims to keep the Diabetes Collaborative Registry services available 24 hours a day, seven (7) days a week and to maintain saved information. However, due to technical failures, acts of God or routine maintenance, availability may be limited and/or information may be lost. ACCF shall not be liable for lost information or non-availability of the services.

Indemnification

You hereby agree to indemnify, defend and hold ACCF and its collaborators harmless from and against any and all liability and costs incurred by the ACCF or its collaborators in connection with any claim arising from your use of the Site, services or Content, including, without limitation, reasonable attorneys' fees.

Jurisdiction

This Agreement will be governed by and construed under the laws of the courts, state and federal located in the District of Columbia, without regard to its conflicts of law principles and, to the extent applicable, the federal laws of the United States. Customer hereby submits to and agrees that the sole jurisdiction and venue for actions related to the subject matter hereof shall be the state courts and U.S. federal courts located in the District of Columbia.

REGISTERED USER AGREEMENT

The following provisions govern the use of the Diabetes Collaborative Registry services by registered users of the Site. These terms and conditions expressly incorporate by reference and include the general Terms and Conditions for the Site, the Diabetes Collaborative Registry Privacy Policy and any guidelines, rules or disclaimers that may be posted and updated on specific webpages, or on notices that are sent to you. In order to access the Diabetes Collaborative Registry services, the user must register and agree to the following terms and conditions:

Binding Terms and Changes

The Site is made available to registered users for which a Participant Agreement has been executed. By becoming a Diabetes Collaborative Registry Website user, you are indicating that you agree to be bound by all of the terms in this Registered User Agreement.

ACCF may change the terms in this Registered User Agreement at any time. When the terms are changed, ACCF will notify you by e-mail or online postings. Your continued use of the services shall be construed as your acceptance of the updated agreement terms.

Password Use and Security

By entering into this Agreement, you acknowledge that the Diabetes Collaborative Registry services are for your exclusive use only. Use or sharing of passwords by non-registered users is prohibited. Failure to comply will result in immediate suspension of your account.

You are solely responsible for maintaining the confidentiality of your User Name and Password, and for all activities that occur under your User Name and Password. You agree to immediately notify ACCF at ncdr@acc.org if you become aware of or have reason to believe that there is any unauthorized use of your account or any other breach of security. ACCF is in no way liable for any claims related to the use or misuse of your User Name and Password due to the activities of third-parties outside of ACCF’s control or due to your failure to maintain  confidentiality and security.

Use of Registered User Information

By entering into this Registered User Agreement, you also are agreeing to the terms of the Diabetes Collaborative Registry Privacy Policy.

Termination and General Provisions

A Participant Agreement in the Diabetes Collaborative Registry may be renewed on a yearly basis. If the Participant Agreement has expired and a new agreement has not been executed, access to the Site for all institutional users will be terminated.

Users who use foul language, communicate inappropriately, download material for any use other than personal, attempt to subvert the Diabetes Collaborative Registry system and/or services, or otherwise violate these terms and conditions shall have their user accounts terminated.

Neither failure nor delay on the part of any party to exercise any right, remedy, power or privilege hereunder nor course of dealing between the parties shall operate as a waiver thereof, or of the exercise of any other right, remedy, power or privilege. No term of this Agreement shall be deemed waived, and no breach consented to, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. No waiver of any rights or consent to any breaches shall constitute a waiver of any other rights or consent to any other breach.

If any provision in this Agreement is held invalid or unenforceable under applicable law, the remaining provisions shall continue in full force and effect. This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and the District of Columbia, without regards to conflicts of law principles. user  hereby submits to and agrees that the sole jurisdiction and venue for actions related to the subject matter hereof shall be the state courts and U.S. federal courts located in the District of Columbia. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.
